1.寄售人将不断地把_________（货物）运交给代售人代售。货物价格为市场CIF市价，约隔90天运交一次。
2.代售人在征得寄售人对价格、条款等到同意之后，必须尽力以最好价格出售寄售商品。
3.开始阶段，每次船运货物的价格不得超过_________美元，代售人未偿付的货款不能超过_________美元。
4.寄售人对赊销造成的坏账不负任何责任，代售人在任何时候均负有支付寄售人货款的义务。

CONSIGE AGREEMENT
This Agreement is entered into between _________ Co. （hereinafter referred to as the Consignor）， having its registered office at _________， Shanghai， China and _________ CO. （hereinafter referred to as the Consignee）， having its registered office at_________， on the following terms and conditions：
Consignor shall from time to time ship _________ （commodity） to the consignee on Consignment basis at the prevailing international market prices on CIF terms. The interval between each shipment shall be approximately ninety days.

凡因本协议引起的或与本协议有关的任何争议应协商解决。若协商不成，应提交华南国际经济贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
Any dispute arising from or inconnection with the Contract shall be settled through friendly negotiation. Incase no settlement is reached, the dispute shall be submitted to South ChinaInternational Economic and Trade Arbitration Commission (SCIA) for arbitrationin accordance with its rules in effect at the time of applying for arbitral award is final and binding upon both parties.
9.本协议用中英文两种文字写成，两种文字具有同等效力。本协议共__份，自双方代表签字(盖章)之日起生效。

甲方寄卖物品金额为____________。寄卖物品清单如下：
一、甲方委托乙方寄卖的物品必须保证其物品的合法性及真实性，其物品如属于非法所得物品，甲方必须承担乙方的经济损失以及相关的法律责任。
二、甲方因隐瞒寄卖物品存在共有、争议、被扣押或已设定抵押权或涉及案件等情况而给乙方造成经济损失的，应向乙方支付寄卖合同项下寄卖金额 %的违约金。
三、寄卖物品售出后，甲方按寄卖物品成交价的百分之____%向乙方支付佣金。
四、乙方有义务向甲方通报寄卖物品的销售信息，反映当地的市场情况和消费者意见，经甲、乙双方协商后，甲方同意低于双方寄卖金额成交的物品时，佣金按双方签订的寄卖金额全额支付。
五、 本协议经双方签字后有效期为_____，从__年__月__日起到___年_月__日止。如果一方需要延长协议，必须在满期前一个月书面通知另一方。如因乙方门面到期、经营不善或转让，乙方应提前通知甲方，终止本协议。如甲方终止寄卖物品时，须向乙方支付 保管费，本合同终止。

(1)如有任何客户坚持要与甲方直接交易，甲方有权直接成交。在后一情况下，甲方应送给乙方销货确认书副本一份，并按该笔交易额的百分之_为乙方保留佣金。
(2)、甲方必须保证寄卖物品的合法性，如不合法，所产生的任何法律后果由甲方完全负责。
本协议共写成一式两份，每方各执一份。
备注：本协议自签订之日起，如遇人力不可抗拒的自然因素而造成甲方寄卖物品受到损失，乙方不负责赔偿。
